Ok, here is my dilemma. I have an Intel HT 3.2 processor that is over clocked to 3.41 but my computer seems to be slower that all of my friend’s computers even thought we all have the same processors. Please HELP. Oh and I have 1g of pc3200 ram, and my motherboard is compatible with all of the equipment in my computer.

What do you mean by slower?  As in you can notice a difference by using the computer or is slower when comparing benchmarks.  If you notice the difference, there are several things that could be causing the problem.

1) When do you notice the difference?

2) Have you scanned for spyware and viruses lately? This is most likely the cause of your slow down.

3) What software do you use to scan for spyware? What anti-virus are you using?

4) How many things do you have running at one time? Check the task manager for a list of processes as well how much ram and cpu power each process is taking.

5) What type of hard drives are you using? What type of hard drives are your friends using?  (SATA or IDE)

Its noticably slower.

I notice that in general its always slower (Way slower ).

I scan for add/spyware every week (including viruses).

Im using ad-aware SE, Spybot Search and destroy and mcafee virus scanner.

I have about 54 processes all the time, and all together they are using 452 mb of ram and in generaly 1 - 50% of my processor.

We are both using IDE

I really can't put a finger on what it may be other than something related to windows.  Usually when I see this problem, it is a result of spyware/adware.  If it wouldn't be too big of a deal, you might want to back up all your data and reload windows (fresh install, not repair).  You may also want to ditch McAfee as it isn't as effective as many of the free anti-viruses out there.
